Terms of Use (for service providers)

Nutrition HK (the "Platform") is powered by NuQuotient. Co (the "Company"). Nutrition HK offers a platform for the matching between service providers and users and Platform itself does not offer the consultation or related medical and health services. By using the Platform, you (the "User") agree to the terms and conditions set forth below. These terms of use ("Terms of Use") govern your use and access of the websites, content, products and services ("Service") made available by the Platform.
Supplemental terms may apply to certain Services, such as policies for a particular event, activity or promotion, and such supplemental terms will be disclosed to you in connection with the applicable Services. Supplemental terms are in addition to, and shall be deemed a part of, the Terms of Use for the purposes of the applicable Services. Supplemental terms shall prevail over these terms of use in the event of a conflict with respect to the applicable Services.
Platform may amend the Terms of Use to the Services from time to time. Amendments will be effective upon posting at this location or the amended policies or supplemental terms on the applicable Services. Your continued access or use of the Services after amendments constitutes your consent to be bound by the amended Terms of Use.
Your access and use of the Service constitutes your agreement to be bound by the Terms of Use. If you do not agree to it, you may not access or use the Services.
1. The Services
The Services constitute an electronic platform that enables users of Nutrition HK’s websites provided as part of the Services to host, publish and share the nutrition and health education or training materials, and arrange and schedule consultation services with independent third party service providers of such services.
2. User Accounts
You are required to register and maintain an active personal user Services account ("Account") in order to enjoy the most aspects of the Services. You must be at least 18 years of age, or the age of legal majority in your jurisdiction (if different than 18), to obtain an Account. Account registration requires you to submit to the Platform certain personal information, such as name, mobile phone number, email, age and qualifications.
You agree to register and maintain accurate, complete and up-to-date information in your Account. Your failure to do so may result in your inability to access and use the Services or termination of the Terms of Use. You are responsible for all activity that occurs under your Account, and you agree to maintain the security and secrecy of your Account username and password at all times. Unless otherwise permitted by Platform, you may only possess one Account.
3. User Requirements and Conduct
You may not authorize third parties to use your Account. You may not assign or otherwise transfer your Account to any other person or entity. You agree to comply with all applicable laws when using the Services, and you may only use the Services for lawful purposes. You will not, in your use of the Services, cause nuisance, annoyance, inconvenience, or property damage to any other party. In certain instances you may be asked to provide proof of identity or academic qualifications to access or use the Services, and you agree that you may be denied access to or use of the Services if you refuse to provide the proofs.
You will demonstrate honesty, punctuality, courtesy, cooperative attitude, proper health and grooming habits, appropriate dress. You will adhere to local law, company policies governing the observation of confidentiality and the handling of confidential information, and assuming personal and professional responsibilities for all actions and activities. You will avoid any conflict between their personal interest and the interest of the Platform in dealing with suppliers, consumers and all other organizations doing or seeking to do business with the Platform or any subsidiaries/associates.
4. User-generated content
Platform permits you to upload and submit the user generated content ("Content") through Services textual, audio, and/or visual content and information related to nutrition and health for educational and consultation purposes.
You warrant that: (i) you are the owner of the Content, and the Content is original, has not previously been published and is not currently under consideration for publication elsewhere; (ii) you has obtained permission to use any material which has been sourced from third parties (e.g. illustrations, photographs, charts or maps); (iii) neither the Content nor your submission, uploading, publishing or making available of Content nor the Platform's use of the Content as permitted herein will infringe, misappropriate or violate a third party's intellectual property or proprietary rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
You may not: (i) remove any copyright, trademark or other proprietary notices from any portion of the Services; (ii) link to, mirror or frame any portion of the Services; (iii) cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Services or unduly burdening or hindering the operation and/or functionality of any aspect of the Services; (vi) attempt to gain unauthorized access to, or impair any aspect of the Services, the user accounts and its related systems or networks.
By providing User-generated content, you grant the Platform a worldwide, perpetual, irrevocable transferable and royalty-free license. Platform has the exclusive rights to and is entitled to use the intellectual property rights, including by development, change, production, reproduction, assignment, sale, licensing, and the Platform is without any limitations further entitled to transfer such rights to third parties.
The Platform can apply the Terms of Use in connection with registration of the rights in question. You thus have no right to complain of infringements of intellectual rights. Moreover, the Platform is not obligated to make use of such rights. You agree to sign any documents which the Platform deems necessary or appropriate in order to secure the Platform's or its associated company's rights covered by this provision. Any allegations of theft or plagiarism must be substantiated and will be treated seriously.
5. Disclaimer
The Services are provided "as is". Platform makes no representation, warranty, or guarantee regarding the reliability, timeliness, quality, suitability or availability of the Services or any services or goods requested through the use of the Services, or that the Services will be uninterrupted or error-free.
Platform does not guarantee the quality, safety or ability of third party providers. You agree that the entire risk and liability arising out of your use of the Services, and any services or good requested in connection therewith, remain solely with you, to the maximum extent permitted under applicable law.
6. Limitation of Liability
Platform shall not be liable for incident, incidental, special, exemplary, punitive or consequential damage, including lost profits, lost data, personal injury or property damage related to, in connection with, or otherwise resulting from any use of the Services, even if Platform has been advised of the possibility of such damages.
7. Indemnity
You agree to indemnify and hold Nutrition HK and its officers, directors, employees, volunteers and other users harmless from any and all claims, demands, losses, liabilities, and expenses arising out of or in connection with: (i) your use of the Services or services or goods obtained through your use of the Services; (ii) your breach or violation of any of these Terms of Use; (iii) Nutrition HK’s use of your Content; or (iv) your violation of the rights of any third party.
